PREAMBLE

We, the members of the Ohio Campus Law Enforcement Association, a-nonprofit organization, recognizing the need to network and expand professionalism in the field, hereby form the following Bylaws for the purpose of improving communication and services of Campus Law Enforcement, for the betterment of the public at large.


BYLAWS

ARTICLE I: NAME

The name of this organization shall be the "Ohio Campus Law Enforcement Association."


ARTICLE II: PURPOSE

A. To promote common interest and professionalism in the administration of public safety, security and law enforcement programs on the campuses of the colleges and universities in the State of Ohio.

B. To promote professional ideals and standards in order to better serve the educational objectives of the colleges and universities in the State of Ohio.

C. To coordinate, integrate and cooperate with the other segments of the academic community and the criminal justice system in the State of Ohio as regards matters of mutual interest, concern and benefit.

D. To assist in the identification, development and communication of a body of common knowledge unique to the public safety, security and law enforcement profession as practiced on the campuses of the colleges and universities in the State of Ohio.

E. To provide a forum for the exchange and coordination of ideas, concepts and programs pertaining to college and university law enforcement.

F. To inform elected officials, legislative bodies and criminal justice personnel of current campus public safety issues.

G. To do all things necessary and proper to promote sound and effective campus law enforcement.


ARTICLE III: MEMBERSHIP

1. Membership Types

There shall be four types of memberships, which are defined as follows:

A. INSTITUTION MEMBERSHIP - Any institution of higher education in the State of Ohio which offers programs leading to a degree/diploma requiring not less than two (2) years of academic credit, shall be eligible for institutional Membership on condition that such institution provide its own functional administrative organization to care for its needs involving public safety, security and / or law enforcement. The designated Institutional Member shall be the administrator, director or executive officer of the institution in direct and responsible charge of the operation, maintenance, planning and development of the public safety, security and law enforcement programs at the institution. Each member institution shall be entitled to one (1) vote in all matters of the Association, said vote to he cast by the designated Institutional Member.

B. ASSOCIATE MEMBERSHIP - Any employee active in or retired from a member institution, upon certification by the designated Institutional Member that said employee is a subordinate acting in a public safety, security or law enforcement capacity, shall be eligible for Associate Membership. Associate memberships must be approved on an individual basis by the Membership Committee and shall be non-voting members.

C. SUPPORTING MEMBERSHIP - Any individual who, by virtue of a vocation, profession, business or civic interests, shares in the concerns and objectives of the Association and wishes to demonstrate such support, may be eligible for Supporting Membership. Such supporting members must be approved on an individual basis by the Membership Committee and shall be non-voting members.

D. HONORARY MEMBERSHIP - Selected individuals rendering distinguished service to the Association may be eligible for Honorary Membership. Nominations for Honorary Membership may be put forth to the Membership Committee by any Institutional Member. Upon favorable review and recommendation by the Membership Committee, Honorary Membership may be conferred upon favorable majority vote of those members present at a meeting. Honorary members shall be non-voting members.

2. Membership Application

A. Application for Active or Associate membership shall be made by individually initiated petition or by the recommendation of members of the Executive Board. All applications for membership are to be submitted to the Secretary of the Executive Board prior to any meeting of the Board. A simple majority will be necessary for approval of new memberships.

B. Applications for Honorary membership are to be submitted by the sponsor to the Executive Board for approval. Assignment of Honorary membership shall be by a simple majority vote of the Executive Board.

3. Conditions and obligations of Membership

A. Members of the Association shall take an active interest in the Association as evidenced by attendance at meetings and special functions, work on standing and ad-hoc committees and presentation of information and papers.

B. Any member of the Association found to have conducted themselves personally or to have allowed their public safety, security or law enforcement organization to act in such a manner so as to be contrary to the purposes of the Association may, by three-fourths (3/4) vote of a quorum of the eligible voting membership, be dropped from membership in the Association.

C. Any member or member institution found to have misused affiliation with the Association or to have commercialized the name of the Association may, upon three-fourths (3/4) vote of a quorum of the eligible voting membership, be dropped from membership in the Association.

4. Membership Suspension

A. The Executive board shall have the power to suspend or expel any member by a 2/3 Vote.

B. All Executive Board members must cast a vote in a suspension proceeding.

C. Any member under consideration for suspension or expulsion must be notified of such pending action at least fourteen (14) days prior to the effective date in writing. Such person may then request an appearance before the Hearing Board. Said Board shall be composed of three (3) Active members appointed by the Executive Board. The Executive Board shall then take action based upon the recommendations of the Hearing Board..

D. All parties, within fourteen (14) days of notification of the decision by the Executive Board, may appeal that decision, in writing, to the Executive Board.

5. Membership Dues

A. The annual dues for all types of membership will be set by the Executive Board.

B. The annual dues fee set by the Executive Board may be amended by a 2/3 vote of Active members present and voting at a general meeting.

C. Membership dues shall be payable to the Treasurer on an annual basis.


ARTICLE IV: MEETINGS

  1. The Association shall meet at least semi annually, of which one meeting shall be considered the Annual Membership Meeting, at which all members should be present. The elections will take place at the annual membership meeting. The Executive Board of the Association shall meet at least quarterly.


ARTICLE V: OFFICERS

  1. Officers of the Association shall be President, Vice President, Secretary, Treasurer, Public Institution Representative, and Private Institution Representative. These officers shall be elected by a secret ballot at the Annual Membership Meeting and shall serve for a period of one (1) year or until their respective successors have been duly elected and qualified. in the event that an officer is unable to serve out their term, a replacement will be selected as outlined in the Association Bylaws.


ARTICLE VI: Executive Board

  1. There shall be an Executive Board consisting of the six (6) officers which are elected. All elected officers are to be included as members of the Executive Board with the rights to speak and vote on all matters acted on by the Board. All officers are to be elected at the Annual Membership Meeting, to serve on the Executive Board for the coming year.

SECTION 1: THE PRESIDENT

1. The President shall preside at all regular and special meetings of the Association. They shall appoint members of all standing committees and any other committee as the need arises. They shall perform such duties as the Association may require of him in the conduct of its business, including but not limited to authorizing reasonable expenditures for the conduct of the Association's affairs. They shall preside at all Executive Board meetings.

SECTION II: THE VICE PRESIDENT

  1. In the absence or disability or the President, or upon their request, the Vice President shall perform the duties of the President. The Vice President shall serve as chairman of the Membership Committee.

SECTION III: THE SECRETARY

  1. The Secretary shall keep a full and accurate record or all proceedings of the Association and shall present orally and in writing the minutes for approval at each succeeding meeting of the Association.

SECTION IV: THE TREASURER

  1. The Treasurer shall be the custodian of all funds of the Association and shall keep a complete and accurate record of all monies received and disbursed. The Treasurer shall make a financial report to the membership at each regular Association meeting, for approval and then for audit.

SECTION V: PUBLIC AND PRIVATE INSTITUTION REPRESENTATIVE

  1. The Public, and Private Institution Representative shall be elected to represent the membership of the specified institutions. Duties shall include, but not be limited to, attendance at Executive Board meetings, the conducting of necessary meetings for their constituents, serving on committees as requested by the President, and have responsibility for the exchange of information and concerns between the Executive Board and their constituent institution members.

SECTION VI: VACATED OFFICE

  1. In the event an officer, other than the institution representatives, is unable to serve out their term, the Executive Board shall select a replacement.
  2. In the event an Institution Representative is unable to serve out their term, the institutional membership which is affected will hold a meeting within forty-f ive (45) days of notif ication and will elect a replacement. If the vacancy is not filled within forty-five (45) days, the Executive Board is empowered to fill such vacancy by selecting a qualified person from the active membership of the affected membership category to serve until the next election meeting of the constituents.

SECTION VII: LIAISONS

  1. Any Liaison positions with other organizations to serve as nonvoting participants on the Executive Board, shall be established by and voted on by the Executive Board. A majority vote is required.
  2. The Executive Board is only empowered to create the Liaison position. The organization being represented will select its own representative.

SECTION VIII: EMERGENCY ACTION

  1. The Executive Board shall be empowered to act as an emergency body on behalf of the Association when time or circumstances make it impossible for the Association to be called together in a business session. It shall be their primary duty to safeguard the interests off the Association and those composing its membership.
  2. In non-emergency situations, the provision of Article VIII of the Constitution shall apply.


ARTICLE VII: ELECTIONS

  1. Elections for the offices of President, vice President, Secretary, Treasurer, Public Institution Representative, and Private Institution Representative, shall be held during the annual membership meeting of the Association.
  2. Any "Institutional" member, as defined in Article 3, wishing to have their name placed on the ballot for the Election, must have their name submitted to the Office for the position sought, at least forty-five (45) days prior to convening the annual membership meeting, for certification of membership. In order to run for office, a member has to have been a member a member in good standing in the Association from the same Institution for one full year at the time of nomination. All candidates placed in nomination through this proceeding and are members in good standing, shall be named on the ballot for election.
  3. Only members within the respective institution category may vote for their representative. All members vote for all other officers.
  4. No Active member may hold more than one office in the Association annually.
  5. An Election Committee consisting of one delegate from each of the of the institutional representation, plus one non-Executive Board member, shall be selected by the Executive Board to preside over the election proceedings.
  6. The election committee shall be charged with preparing the ballots for election, manning the polls during the election, certifying the membership of all voters at the polls, Ballot Box security and the tabulation of ballots.
  7. The Election Committee shall certify the tabulation of the results of the balloting to the President of the Association.
  8. The Election Committee may promulgate rules of procedure necessary to carry out its responsibilities.
  9. Any member of the Election Committee who is nominated for an office shall vacate their position and a replacement shall be chosen by the Executive Board.


ARTICLE VIII: ORDER OF BUSINESS

  1. The order of business and the manner in which business is conducted at Executive Board meetings shall be established by the current President.
  2. Current Robert's Rules of Order shall prevail for parliamentary law in instances of disagreement over procedure. The Association shall provide the President with a copy of Robert's Rules of order and said book shall be available for reference by any member at all general meetings and Executive Board meetings to facilitate solutions.


ARTICLE IX: APPOINTIVE-COMMITTEES

  1. The President may appoint committees as the need arises. Committees shall consist of not less than three (3) persons. The President and Vice President may not serve on the same appointive committee, and the President may not serve as committee chairperson.
  2. All committee members shall serve at the will and pleasure of the President, except those noted in the Bylaws.
  3. Each committee shall keep regular and current minutes of committees proceedings and report the same to the Executive Board when requested.


ARTICLE X: STANDING COMMITTEES

  1. Standing Committees of the Association shall be Membership, and Training and Education.
  2. Standing Committees shall consist of at least a Chairperson and two (2) members.
  3. Members of the Standing Committees shall serve a one-year term.


ARTICLE X: AMENDMENT

  1. The bylaws may be amended by a 2/3 vote of Active Members present and voting at any general meeting, provided that before a vote shall be taken on any amendments, such amendments shall be submitted to the Executive Board in writing, at least thirty (30) days prior to said meeting, for review and subsequent report to the Association.


ARTICLE XI: GRANTS, GIFTS, AND DONATIONS

  1. The Executive Board is empowered to accept grants, gifts and donations to carry out the purposes and objectives of the Association.
  2. None of the monies received by the Association shall be used for the private pecuniary profit of anyone connected therewith.


ARTICLE XII: ENDORSEMENTS

  1. Neither the Association, nor the members thereof representing the Association, shall publicly or specifically endorse any products and/or services.
  2. Names, symbols, or any other items uniquely identified with the Ohio Campus Law Enforcement Association, shall not be used in conjunction with any commercial enterprise..


ARTICLE XIII: DISSOLUTION

  1. Upon dissolution of the Association, all assets of the Association shall be given to the Ohio Peace officers Training council in furtherance of the concepts of Campus Law Enforcement.
